In the city of Marbella, at 14:58 hours on 13 January 2022, at Club de Golf Los Naranjos (upper hall) located at Plaza de Cibeles s/n, 29660 Nueva Andalucía, Marbella, following a prior convocation made by the president, the extraordinary general meeting of the owners’ association of the owners’ association Señorío de Aloha was constituted in second convocation, under the presidency of Mr. John Riley, and acting as Secretary-Administrator Mr. Domingo Ariza of Meridional Team SL, and attendees and representatives as detailed below.

The meeting was attended by 14 attendees with a 5.594% coefficient and 98 represented with a total of 42.634% of the coefficient. In total, the meeting was formed with 112 attendees with a 48.228% coefficient.

The meeting was recorded without objection from anyone present.

The Secretary-Administrator, Mr. Ariza, began the meeting by apologizing for the delay and explaining that a recount of the voting powers had been necessary.

The meeting was then handed over to the President, Mr. Riley, who welcomed the attendees and explained the agenda, which consisted of the change of Administrator of the community.

The President explained that he had not been able to convene the Annual General Meeting (AGM) in July 2021 due to COVID-19 and that he had had to wait until December 31, 2021, for the restrictions to be lifted before convening the Extraordinary General Meeting (EGM).

The President then explained that he had tried to convene virtual meetings, but that he had been advised not to do so as they may not have been legally valid.

The Secretary-Administrator, Mr. Ariza, intervened to explain that the meeting should have been an AGM, not an EGM, and that the community had a signed agreement with Algabamar, which should have been included in the agenda.
